All content, features, and functionality of our platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of Delegance Brokerage and are protected by copyright, trademark, and other intellectual property laws.
Delegance Brokerage shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. In no event shall our total liability exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless Delegance Brokerage, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content or information you submit through our platform.
Our AI-powered analysis and recommendations are provided for informational purposes only. Final insurance decisions should always be made in consultation with qualified insurance professionals. We do not guarantee coverage or claims outcomes.
When you provide an electronic signature to Delegance Brokerage — including any signature captured during a Broker of Record (BOR) agreement, authorization form, or similar engagement document — you expressly authorize Delegance Brokerage to apply that signature, on your behalf and in your name, to:
This authorization applies to the duration of your active engagement with Delegance Brokerage and may be revoked at any time by written notice to your broker. Revocation applies prospectively — it does not unwind documents already submitted to carriers. Your stored signature is retained on encrypted object storage and is used exclusively for the purposes described above. We will not apply your signature to any document that falls outside this scope without obtaining additional written consent.
You agree that signatures applied under this authorization carry the same legal effect as a wet-ink signature, consistent with the federal E-Sign Act and applicable state Uniform Electronic Transactions Act (UETA) provisions.
We strive to maintain continuous service availability but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our services with or without notice.
Either party may terminate this agreement at any time. Upon termination, your right to use our services will cease immediately, but provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution will survive.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.
We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through our platform. Continued use of our services after such modifications constitutes acceptance of the updated terms.
